Intervista all’Onorevole Mauro del Barba – Promotore della Legge sulle Società Benefit, Presidente Assobenefit
Le Società Benefit (SB) sono aziende virtuose che riescono a dimostrare l’esistenza di un profit valoriale, lontano dalle pure logiche di massimizzazione del profitto. Lei ritiene che il mercato in cui esse sono immerse renda loro possibile scalare tale modello di business?
E’ una domanda molto interessante, su cui ci stiamo interrogando in molti. Proprio per questo Assobenefit ha avviato una ricerca focalizzata sul beneficio comune delle SB. Anche perché il cambiamento non è solo quello che si racconta nella relazione di impatto ma quello di una governance veramente capace di realizzare un duplice scopo. I dati dimostrano che il cambiamento giuridico determina governance differenti, che abbiamo isolato in 5 diversi cluster: essi corrispondono a 5 modi di intendere il “fare impresa benefit” e sono scalabili dimensionalmente, in qualsiasi settore e dimensione di partenza. Peraltro, osservando il trend di lungo periodo, se è vero che all’inizio le aziende Benefit erano piccole e a gestione famigliare, ora presentano diverse sfumature, fino alla grande SpA quotata in borsa. Ecco quindi che la qualifica di SB si può intendere come una categoria universale da applicarsi a qualsiasi tipo di azienda profit, con governance differenziate e una nuova modalità di gestione dell’azienda. Tutto questo è anche il risultato di una legge che lascia volutamente grande spazio di libertà alla singola impresa su come trovare la propria strada: volutamente perché la sfida non è mai stata percorsa prima.
Le società benefit sono state accompagnate, temporaneamente, da alcuni incentivi in forma di credito di imposta. Questa misura ha inciso sull’adesione a questo modello, o non è stato un fattore determinante, a livello numerico?
La misura è stata utilizzata in modo massiccio: più della metà delle aziende diventate Benefit in quel periodo ne hanno usufruito. Tuttavia, non credo sia stata incisiva nella scelta di diventare Benefit, e non è con questa intenzione che è stata creata dal legislatore bensì come uno strumento per mantenere il Parlamento vigile su questo tema e dare un segnale al mercato sul fatto che le istituzioni credono nel modello Benefit, pur avendolo lasciato – nella sua governance applicativa – alla libertà delle imprese. Sullo sfondo c’è anche il tema degli incentivi fiscali (non credito di imposta) che le società benefit non richiedono, onde evitare di affiancare ad imprese davvero convinte del modello, altre imprese attratte solo dai benefici fiscali. E’chiaro che si prepara una fase – guardando anche alla parabola europea – in cui a partire alla Dichiarazione non Finanziaria (DNF) e Direttiva Europea sulla CSR (CSRD) con i relativi impatti sui fornitori, si sta cercando attraverso lo strumento del reporting di indurre cambiamenti analoghi a quelli che le società benefit presero di petto qualche anno fa. Immagino che quando tutto questo complesso normativo sarà maturo, gli Stati dovranno ripensare il sistema di agevolazioni fiscale per le imprese considerando il valore generato dalle imprese e non solo il loro profitto.
Le partnership pubblico-privato sono tra le condizioni abilitanti lo Sviluppo Sostenibile, secondo l’agenda 20230 delle Nazioni Unite (SDG 17). Crede che le Società Benefit abbiano una marcia in più per costruire tali partnership? E se sì, le istituzioni sono consapevoli di questo profit “virtuoso” che potrebbe rivelarsi un alleato determinante per spingere politiche industriali d’eccellenza, cioè più sostenibili e responsabili?
Belle domande 😊 Per il cambiamento che stiamo immaginando, il ruolo delle istituzioni è cruciale. In cosa deve cambiare? Partiamo dal Terzo Settore: la co-progettazione e la co-programmazione sono modelli presenti ma poco attuati nei quali anche il profit entrerebbe, a mio avviso. Ma perché non accade? Perché dove c’è un soggetto che viene percepito come solo interessato alla ricerca del profitto si fa fatica a farlo collaborare con chi opera per la pianificazione del bene comune. E’ chiaro che, invece, in questo le SB si candidano a essere soggetti da integrare in questa modalità di programmazione dello sviluppo territoriale, anche perchè le finalità di beneficio comune sono finalità del territorio…quindi si aprono confini di collaborazione col Pubblico e col Terzo Settore, che devono essere entrambi messi alla prova. In fondo, le Società Benefit non sono solo strumenti per cambiare le dinamiche interne delle imprese ma anche del mercato, quindi anche tramite una diversa influenza sulle relazioni con le istituzioni.
Come descriverebbe il rapporto tra Imprese Sociali e Società benefit, ossia tra la sponda più commercialmente dinamica del terzo settore e quella più responsabile del privato profit?
Questi due elementi si dovrebbero sovrapporre e in un futuro non ci dovrebbe essere più una sostanziale differenza giuridica tra un ente del terzo settore ed uno profit poichè entrambe sono organizzazioni umane che operano nell’interesse della collettività.…ma questa è una visione di futuro. Al momento c’è ancora una separazione dannosa per entrambi i lati, come se il non-profit non dovesse essere interessato ai soldi e il profit solo a quelli. L’impresa sociale pare l’unico modo per lavorare in settori a fallimento di mercato, limitando l’utile in cambio di vantaggi fiscali. E’ però un compromesso temporaneo, laddove le Benefit – invece – segnano un processo trasformativo dell’area di mercato profit. Le Imprese sociali rappresentano un’eccezione del sistema ed il legislatore se ne occuperà, per ridefinire cos’è l’impresa sociale e che tipo di vantaggio sia ancora possibile. Le SB invece sono uno strumento strategico che segnano il passo di un cambiamento di sistema direi definitivo.
Quali sono i prossimi sviluppi di policy che interesseranno le Società Benefit? Ci sono nuovi scenari in divenire o il “fenomeno Società Benefit” può dirsi stabilizzato nelle sue attuali forme e dinamiche?
Siamo vicini ad una fase di revisione: da una parte si tratta di armonizzare – lato reporting – tutto quello che la normativa europea sta introducendo con ciò che già dall’inizio era previsto per le società benefit: questo per immaginare le SB come un’avanguardia rispetto a quanto si sta pensando per le imprese in generale. Dall’altro lato si tratta di considerare gli obiettivi di beneficio comune: dopo 10 anni di esperienza e confrontandoci con ciò che le altre Nazioni stanno facendo (ad esempio sto interagendo con la Confederazione Elvetica, che vorrebbe circoscrivere le categorie di beneficio comune – che invece nella legge italiana sono totalmente libere) si lavorerà per una stagione in cui entri in gioco la premialità fiscale (o di incentivi) rapportata alla misurabilità dei risultati e quindi potrebbe essere che la più grande riforma che abbiamo davanti sia quella di tirare le somme sull’idea di beneficio comune, sulla sua misurabilità e sulla sua classificazione ai fini fiscali. Immagino questo anche con un po’ di timore, perché se questa riflessione venisse fatta troppo in anticipo, ci sarebbe il rischio di tarpare le ali – con un approccio classico, burocratico, centralista – ad un’evoluzione naturale che deve partire dal basso e segnare un cambio di paradigma. Una cosa interessante è emersa tramite il dialogo con altre Nazioni, penso – a livello di governance – alla Francia, che nella legge nazionale sulle “Société de mission” ha introdotto la figura del “comitato degli stakeholder”, cruciale in quanto rappresentato dai diretti percettori del beneficio comune. Uno sviluppo, questo, cui porre molta attenzione.
Se potesse consigliarci un film e un libro per capire la rivoluzione responsabile richiesta a tutti gli attori profit, quali titoli consiglierebbe?
Ho letto un libro di Francesco Cirillo “Attivarsi”, che parla di esperienze concrete del territorio che mi hanno ricordato lo spirito del cambiamento portato avanti dalla Società Benefit, facendomi vedere come in settori diversi ci sia già così tanto in atto da non poter credere che non si raggiungerà un modo più responsabile di fare impresa. Consiglio poi altri due libri: “Futuro Artigiano” di Stefano Miceli e “Verso un’economia Integrale” di Massimo Folagor. In generale, credo manchi un economista in grado di sviluppare queste richieste di cambiamento del privato profit che vengono dal basso trasferendole in un modello economico mondiale. Un segnale interessante è sicuramente il movimento “The economy of Francesco”, interessante anche la teoria di Piketty o la visione politica della “terza Via”, ma serve di più…lo dico sempre ai ragazzi che incontro in università quando spiego la rivoluzione delle Società Benefit.
